Terms & Conditions (UK)

These Terms & Conditions ("Terms") govern your access to and use of The CoFoundery platform, including its website, applications, services, tools, analytics, and related offerings (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About The CoFoundery

The CoFoundery ("we", "us", "our") is operated by e turn Ltd, a company incorporated in the United Kingdom, with its registered office in Glasgow, UK.

The Platform is designed to support entrepreneurial ecosystems by enabling:

  • founder and team formation,
  • startup development and navigation,
  • talent and mentorship engagement,
  • and aggregated, anonymised ecosystem intelligence.

The Platform operates strictly as a decision-support and ecosystem enablement system. It is not a recruitment agency, an investment intermediary, a consultancy, an employer, or a guarantor of outcomes.

2. Eligibility & Account Registration

2.1 Eligibility

You must be 18 years or older, and have the legal capacity to enter into binding agreements.

By registering, you confirm that the information you provide is accurate, complete, and kept up to date.

2.2 User Roles & Access

The Platform supports multiple user roles, including but not limited to:

  • Founders / Co-Founders
  • Startups
  • Talent
  • Mentors & Advisors
  • Ecosystem Operators & Institutions
  • Investors (where enabled)

Your access, features, and data visibility depend on your declared role and granted permissions.

2.3 Account Responsibility

You are responsible for:

  • safeguarding your login credentials,
  • all activity conducted under your account,
  • promptly notifying us of unauthorised access.

3. Acceptable Use

3.1 Permitted Use

You may use the Platform only for lawful purposes consistent with its intended role as an ecosystem enablement and intelligence platform.

3.2 Prohibited Use

You must not:

  • misrepresent your identity, role, or intent;
  • harvest, scrape, or extract data without authorisation;
  • attempt to infer individual-level data from aggregated insights;
  • use intelligence outputs to rank, exclude, or discriminate against individuals;
  • reverse engineer algorithms, psychometrics, or analytics logic;
  • interfere with platform integrity, security, or governance.

We reserve the right to suspend or terminate access for breaches.

4. No Guarantees & No Advice

4.1 No Guarantees

The CoFoundery does not guarantee:

  • co-founder compatibility,
  • startup success or survival,
  • funding outcomes,
  • mentorship effectiveness,
  • participation in programs or opportunities.

All outcomes depend on user decisions and external factors.

4.2 No Professional Advice

Nothing on the Platform constitutes legal advice, financial or investment advice, employment advice, or professional consultancy.

Users remain fully responsible for their decisions.

5. Psychometric Assessments & Learning Content (UK GDPR - High-Sensitivity Processing)

5.1 Purpose & Nature

Psychometric assessments and learning content are provided to:

  • support self-awareness and reflection,
  • improve team design and collaboration,
  • contribute to aggregated ecosystem-level intelligence.

They are not medical or psychological diagnostics, recruitment screening tools, or evaluative judgments by The CoFoundery.

5.2 Visibility & Access Controls

Individual psychometric results are visible only to the user.

Institutions receive aggregated, anonymised insights only.

No automated decisions with legal or significant effects are made using psychometric data (UK GDPR Article 22).

5.3 Lawful Basis (UK GDPR)

Psychometric and learning data are processed under:

  • Explicit consent (Article 6(1)(a), Article 9(2)(a)), and
  • Legitimate interest for aggregated intelligence (Article 6(1)(f)), subject to safeguards.

Consent may be withdrawn at any time.

6. Data Protection & Privacy (UK GDPR)

6.1 Applicable Law

We process personal data in accordance with UK GDPR, the Data Protection Act 2018, and ICO guidance and best practices.

6.2 Data Categories

We process:

  • Personal data (e.g. profiles, contact details)
  • Behavioural and interaction data (e.g. searches, matches)
  • Aggregated and anonymised intelligence data

6.3 Aggregation & Anonymisation

Individual-level data is never shared with institutions without explicit consent.

Aggregation thresholds are applied to prevent re-identification.

Intelligence outputs are designed to describe patterns, not people.

6.4 Your Rights (UK GDPR)

You have the right to:

  • access your data,
  • rectify inaccuracies,
  • request erasure ("right to be forgotten"),
  • restrict processing,
  • data portability,
  • object to processing based on legitimate interests.

7. Ecosystem Intelligence & Ethical Use

7.1 Nature of Intelligence Outputs

Platform analytics and dashboards are descriptive and exploratory, support decision-making, and do not replace human judgment.

7.2 Prohibited Uses of Intelligence

You must not use intelligence outputs to:

  • rank or score individuals publicly,
  • make automated decisions with significant effects,
  • justify exclusion or discrimination.

Misuse may result in termination of access.

8. Third-Party Interactions

The Platform may enable interaction with third parties (users, mentors, institutions). The CoFoundery is not a party to third-party agreements, does not control third-party conduct, and disclaims responsibility for off-platform interactions.

9. Intellectual Property

9.1 Platform IP

All platform components, including:

  • psychometric frameworks,
  • matching logic,
  • analytics models,
  • dashboards,
  • UX designs,
  • are owned by The CoFoundery or its licensors.

You may not copy, modify, distribute, or exploit them without permission.

9.2 User Content Licence

You grant us a non-exclusive, royalty-free, revocable licence to use your content solely for platform operation and improvement, subject to privacy safeguards.

10. Suspension & Termination

We may suspend or terminate access if these Terms are breached, misuse or harm is detected, or required by law or regulation.

You may close your account at any time, subject to statutory data retention obligations.

11. Liability & Disclaimers (UK Law)

To the fullest extent permitted by law: The Platform is provided "as is". We exclude liability for indirect or consequential loss. Our total liability is limited to amounts paid by you to the Platform in the preceding 12 months.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot be excluded under UK law.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Scotland. The courts of Scotland have exclusive jurisdiction, unless mandatory local law provides otherwise.

13. Changes to These Terms

We may update these Terms to reflect legal or regulatory changes, platform evolution, and governance improvements. Material changes will be communicated via the Platform. Continued use constitutes acceptance.
